Two details are worth pausing on. The merger agreement is dated a day before the announcement, so the public news cycle was the second event, not the first. And the last close of $12.00 is identical to the cash consideration, because the share price converged on the deal price once approval was assured.

The mechanics explain why the earliest hard signal came from the exchange rather than the companies. Semrush notified the NYSE on April 17, 2026 and requested that trading in its Class A common stock be suspended in connection with the merger, per the Form 8-K signed by Wade Sherman, President. A buyer who owns the whole company does not want a residual public float, so suspension is standard procedure rather than a signal about anything else.

The five-month gap between announcement and closing is also worth naming, because it was expected rather than a delay. The transaction was subject to regulatory approvals when it was announced on November 19, 2025, and was expected to close in the first half of 2026. It closed on April 28, 2026, inside that window.

Reuters reported the terms most cleanly: "$12 per share in cash for Semrush, representing a premium of around 77.5% to its stock's last closing price," published November 19, 2025. Who Owns Semrush Now

Adobe Inc. owns Semrush Holdings, Inc. as a wholly owned subsidiary. The vendor says so in its own words on "FAQ for Customers: Adobe Acquires Semrush": "April 28, 2026. Adobe has officially acquired Semrush," last updated April 28, 2026. Adobe's newsroom carries the same date, and its completion release calls Semrush "a leading brand visibility platform."

One date trap circulates widely and will show up in your own searches. Semrush's FAQ displays June 17, 2026 beside the acquisition entry in a relevant-news panel. That is the date of the Adobe Brand Visibility announcement sitting in the same panel, not a closing date. Search AI answers have returned September 2026 for the same kind of reason. Three first-party documents say April 28, 2026.

The brand has not changed. Semrush's newsroom kept publishing under its own name through the summer, and a July 2026 announcement uses the construction "Semrush, an Adobe Company." The entity on your contract is what matters when you check who you are dealing with.

What Adobe Says It Is Buying

Adobe's completion release describes what it intends to sell as "solutions for search engine optimization (SEO), generative engine optimization (GEO) and agentic search optimization (ASO) to close those gaps," and as "uniting Semrush's discoverability intelligence with Adobe's brand visibility and agentic web solutions." Both sentences are dated April 28, 2026.

Read that third initialism as framing, not as a plan. SEO is the older frame, GEO is the frame the market adopted for AI answer surfaces, and ASO is Adobe's own addition, attached to a category that still has no settled name. Adobe is telling you how it wants this acquisition understood. It is not telling you what it will ship, and its release says as much itself: the Forward-Looking Statements Disclosure states that plans and objectives are forward-looking and subject to risks and uncertainties. Their caveat, not mine.

Adobe put two people in front of the announcement. Anil Chakravarthy, President of Adobe's Customer Experience Orchestration Business, said "the rules of brand discovery and commerce are being rewritten in real time," and that Adobe would give customers "the full picture of how their brands show up to consumers" across search engines and LLMs. Bill Wagner, CEO of Semrush, said Semrush "has spent more than 17 years helping marketers scale and grow." Both quotes are dated April 28, 2026.

The one measurable figure in Adobe's material is theirs to own: "Adobe data shows that while AI traffic to U.S. retail sites increased 269% year over year (March 2026), businesses have significant gaps in AI-led brand visibility." Attribute that as Adobe data about Adobe's own market and weigh it accordingly. The same materials put Semrush at "over 28 million users globally" and its corpus at 28.5 billion keywords and 43 trillion backlinks built over 17 years (June 17, 2026).

What Has Changed for Customers So Far: Documented vs Likely

The plan lineup was rebuilt. Semrush's own pricing page for SEO and AI search, checked September 18, 2026, lists four plans in the Semrush One family: SEO at $139/mo ($117.33 billed annually), Starter at $199 ($165.17), Pro+ at $299 ($248.17) and Advanced at $549 ($455.67). A second, separately purchasable product exists now. Adobe Brand Visibility was announced June 17, 2026 as "the first unified solution" combining Adobe LLM Optimizer with Semrush AI optimization, and Semrush states that it can be bought as a standalone application. Adobe's partner FAQ, updated August 24, 2026, adds that "the product is expected to GA by early August," which makes it the only dated product-release expectation either company has attached to this acquisition. Semrush also publishes an AI visibility toolkit whose plan is named Base and priced at $99/mo per domain (checked September 2026; the page confirms the plan name and annual billing, while the figures render dynamically). The vendor published a customer FAQ, and its wording is careful. Semrush states that there will be "no immediate changes to your current services, agreements, or points of contact, including product: features, interface and experience, access, support, billing." On pricing: "At this time, there will be no changes to our existing contracts and agreements." Both statements are dated April 28, 2026, and the hedges "At this time" and "For now" appear more than once. A dated statement is not a permanent promise.

Product activity continues. Semrush shipped Traffic Insights in Traffic Analytics on June 11, 2026, added Crazy Egg to its App Center on August 11, 2026, and launched an official connector for Claude on August 26, 2026. On July 7, 2026 it announced it had been named in a Gartner Market Guide for Answer Engine Visibility Tools as "Semrush, an Adobe Company." And the vendor has already answered the obvious follow-up. Asked what to do if you would rather not wait for the products to integrate, Semrush's FAQ points to customers "already closing the loop from AI visibility intelligence to deployed optimization to measurable outcome." That is a sales position, and it is dated to the same FAQ.

Likely, and not documented

Consolidation of the two AI visibility products into a single buying path. Adobe's partner FAQ says "as the Adobe and Semrush offerings evolve, there may be greater alignment between the programs." That is a hedge, not a plan.

Procurement and legal consolidation if you hold contracts with both companies. Semrush answers that directly: "For now, you can keep working with both contracts and both systems." The same answer closes with the most honest sentence in the document: "it is only day one."

Everything else. There is no announcement of layoffs, no announcement of product discontinuation and no notice of a price change for existing Semrush customers. I looked for all three. Absence of an announcement is not evidence either way.

One correction before you act on any of the above, because it gets conflated constantly. Adobe's partner FAQ, updated August 24, 2026, states that "all LLM Optimizer customers and deals are migrated to Adobe Brand Visibility," with no action required. That migration concerns Adobe LLM Optimizer customers, not Semrush SEO subscribers, and confusing the two is the most common error in circulation about this deal. The same FAQ draws the line the other way too: Adobe Brand Visibility "does not include the full set of SEO capabilities that Semrush broader platform" provides.

What This Means for Your Renewal Decision

Six things to check before you sign the next term.

  1. Verify the plan name and price against the current ladder the week you renew, not the week you were quoted. The lineup here was rebuilt inside the acquisition window.
  2. Recalculate what your seats and add-ons cost. Additional users start at $45/mo, lead generation at $90/mo, a Base Report at $10/mo and a Pro Report at $20/mo. Add-on lines are where a renewal total drifts away from the number you remember agreeing to.
  3. Confirm which legal entity is the counterparty on your renewal document, and whether your procurement or security review was written against the old one.
  4. Re-read the data-processing terms. Semrush says Adobe "shares our strong commitment to keeping user data secure" and that Semrush "will now join" Adobe's Data Protection and Integrity program (April 28, 2026). Ask which entity is the processor now.
  5. Check your auto-renewal date. Renegotiating before a term locks beats renegotiating after.
  6. Put three things to the vendor in writing: is my current plan still sold under this name, what is the renewal price at my seat count and add-on mix, and which legal entity is the counterparty? You want the answers dated, because the vendor's own language on continuity is dated.

None of that is specific to Adobe. It is what you would do after any acquisition where the seller's own answer includes the phrase "at this time."

Should It Change Your Tooling Assessment?

The tool is the same tool. Your keywords, projects, historical data and the workflows your team built are where they were, and Semrush states that support, billing and login surfaces are unchanged as of April 28, 2026.

What genuinely changes is smaller than the coverage implies, and it is procurement-shaped rather than feature-shaped. Ownership changes the entity on the invoice and in the security questionnaire. Roadmap risk shifts: a single-vendor roadmap is now an Adobe roadmap, and neither company has published SEO-suite product plans beyond the ASO framing. Bundle economics become a negotiation variable, because Adobe now sells a discoverability layer alongside its own brand visibility product. The features, your data, the interfaces your team learned and your Semrush keyword research documentation do not change.

One piece of integration evidence sits in a job title.
